These Disclosures explain what Prophit Inc. ("Prophit," "prophit.inc," "we," "us," or "our") is, what our website and mobile application (the "App") do and do not do, and how certain figures and features should be understood. They apply to prophit.inc, the Prophit mobile App, and Prophit's social media content, and are incorporated into our Terms of Service. Please read them carefully. The name "Prophit" is a stylized portmanteau used solely as a brand identifier. It does not represent, imply, or guarantee any profit, financial gain, investment return, or favorable outcome of any kind. The phonetic and visual similarity between "Prophit" and the word "profit" is a stylistic branding choice and must not be interpreted as a representation, warranty, or prediction about expected outcomes or results.
A "Prophit" as used on this platform refers exclusively to a user-generated, self-directed, hypothetical grouping of publicly traded companies organized around a user's personal interests, themes, or areas of curiosity. These groupings are assembled entirely at the user's discretion. They are not managed portfolios and do not constitute a fund, investment vehicle, managed account, or securities product of any kind. No representation or warranty is made that any such grouping will achieve any particular result. The use of this term shall not be construed as a promise, projection, forecast, or guarantee of future performance, returns, or profitability.
Prophit Inc. is a technology company. We provide software, educational content, search and discovery tools, and a user interface that may connect you to third-party brokerage services. We are not a financial services company.
We do not provide investment management, portfolio management, financial planning, tax advice, or legal advice. We do not hold customer accounts for trading or custody. Any brokerage, custody, clearing, settlement, tax reporting, or related financial services you may access through the App are provided exclusively by independent third parties under their own terms and regulatory oversight, as described below.
Real, self-directed investing is available in the App through an integration with Open to the Public Investing, Inc. ("Public Investing"), a registered broker-dealer and member of FINRA and SIPC. Public Investing is an affiliate of Public Holdings, Inc. Clearing and execution services for Public Investing accounts are provided by Apex Clearing Corporation. Public Holdings, Inc. is the parent company; it is not the broker-dealer that opens or maintains your brokerage account.
Prophit Inc. is a technology company. It receives compensation from Public when a user opens a new brokerage account through Prophit. The compensation is a fixed, flat, per-account marketing payment. We do not state a dollar amount here; the material fact is that compensation exists and that it creates a conflict of interest, as described below.
Prophit does not share in Public's revenue, receives no advisory or management fees from Public or from you in connection with this arrangement, and receives nothing from you for opening a Public Investing account through the App. Prophit also receives no compensation from any market data, AI, or analytics provider in exchange for how any company or content is ranked, ordered, or displayed in the App or on our website.
This compensation arrangement creates a conflict of interest. Prophit has a financial incentive to encourage users to open Public Investing accounts. Prophit did not perform a comparative evaluation of brokerages for your benefit. The availability of Public Investing in the App is not a representation that it is the best, cheapest, or most suitable brokerage for any person. You should compare brokerages independently and decide for yourself whether to open an account, and with whom.
Public Investing, not Prophit, handles account approval, identity verification, suitability determinations (where applicable), funding, order execution, custody, clearing, settlement, tax reporting, statements, confirmations, and any SIPC coverage that may apply to a Public Investing account. Your relationship with Public Investing is governed by Public Investing's own agreements and disclosures. You should read those documents carefully before opening or funding an account.
Where brokerage features are available in the App, you may link an existing brokerage account or open a new one with Public Investing. Orders you place are transmitted to that brokerage for execution. You must approve every order. Prophit never trades on your behalf and offers no automated, algorithmic, or discretionary trading.
Brokerage services — including account opening, KYC/AML checks, funding, withdrawals, order routing, execution, custody, clearing, settlement, margin (if offered by the broker), statements, trade confirmations, tax documents, and customer support for the brokerage account — are provided by Public Investing and, where applicable, Apex Clearing Corporation, under their own terms. Prophit is a technology company that provides the software and interface through which you reach those services. We are not your broker, not your custodian, and not a party to your brokerage customer agreement.
SIPC membership, where it applies to a Public Investing account, relates to protection against the failure of a broker-dealer. SIPC does not protect against investment losses, market declines, or poor investment decisions. Many people confuse SIPC coverage with a guarantee against losing money in the market; it is not. Ask Public Investing or review its disclosures for details of any coverage that may apply to your account.
Prophit is not responsible for Public Investing's or Apex Clearing Corporation's acts, omissions, pricing, execution quality, data accuracy, security, regulatory compliance, or financial condition. Availability of brokerage features in the App may change, and account eligibility is determined by the brokerage, not by Prophit.

Any action you take based on anything appearing in, generated by, or displayed through the App or website is your independent decision alone.
Use of this platform does not create an adviser-client, broker-customer, fiduciary, or any other professional relationship between you and Prophit or any of its officers, directors, employees, agents, or affiliates. We owe no fiduciary duty, duty of care, or duty of loyalty to any user of this platform. We do not act as your agent or representative in any capacity.
If you open a brokerage account with Public Investing, any duties that firm may owe you arise solely from your agreement with Public Investing and applicable law governing that relationship — not from your use of Prophit.
All investing involves substantial risk, including the possible loss of all amounts invested and, in some cases, amounts in excess of your initial investment. The value of securities and other financial instruments can and does fluctuate, and you may receive back less than you originally invested. Forward-looking statements are inherently uncertain and subject to risks, assumptions, and unknowns beyond our control. Actual results may differ materially. Prophit undertakes no obligation to update any forward-looking statement.
Before making any real-money investment decision — including through a linked brokerage account in the App — consider your financial situation, objectives, and risk tolerance, and consult qualified professionals as needed. You can lose money.
It is essential to distinguish real brokerage account figures from simulated, hypothetical, or points-based figures.
Unless a figure is expressly and conspicuously presented as data from your linked brokerage account, treat portfolio values, balances, returns, percentage gains or losses, equity curves, leaderboard rankings, points, badges, and similar metrics as simulated, hypothetical, or gamified. They are not your real brokerage results.
Any hypothetical, backtested, modeled, or simulated performance results displayed on this platform have inherent and significant limitations. Unlike actual performance records, simulated results do not represent actual trading or real economic risk. Because these results are often generated with the benefit of hindsight, they may over- or understate the impact of market factors such as liquidity constraints, transaction costs, slippage, and market impact. Simulated results generally do not fully account for fees, commissions, taxes, borrowing costs, margin interest, regulatory fees, or order execution risk. No representation is made that any account will or is likely to achieve results similar to those shown.
Leaderboards, points, rankings, badges, sharing features, groups, and other social or gamification elements are provided for entertainment, education, and engagement. Performance on a leaderboard or in any social or gamified feature is not an indication of investment skill, professional qualification, or the likelihood of future investment success — for the displayed user or for anyone else. Usernames, profile pictures, group names, and other user-generated content are submitted by users and are not endorsed, verified, or warranted by Prophit. Do not rely on leaderboard rankings, shared groupings, or other user-generated content as the basis for any real-money decision.
The App may include an artificial intelligence assistant or chatbot that can generate text about publicly traded companies, markets, or related topics. Those outputs are produced by large language models and related automated systems.
The AI assistant is not a financial adviser, registered investment adviser, broker-dealer, or fiduciary. Its responses are for educational and informational purposes only. AI-generated content may contain errors, invented details, outdated facts, or incomplete analysis. Do not use AI output as a substitute for your own research or for advice from a qualified professional. Any decision you make after reading AI-generated text is yours alone.
The App includes search and discovery features that help you explore publicly traded companies. Results reflect textual and semantic relevance to a query — for example, similarity between your input and company descriptions or related text — not investment merit, suitability for any person, or expected return.
Inclusion of a company in search results, discovery feeds, swipe queues, or any ranked list, and the order in which companies appear, is never advice to buy, sell, or hold. These features are educational tools for exploration and learning. They are not engines that evaluate whether a security is appropriate for you. Any personalization, filtering, or matching based on preferences or in-app behavior is an automated analytical interpretation of limited inputs. It does not consider your full financial situation, objectives, risk tolerance, liquidity needs, tax circumstances, or time horizon.
Market data, quotes, charts, security prices, company information, and other financial data displayed on the website or in the App may be delayed, incomplete, or inaccurate. Much of this data is sourced from third-party providers and is provided as is, without warranty of any kind.
Do not treat displayed prices or metrics as a real-time feed suitable for trading decisions without confirming against your brokerage or another authoritative source. Prophit is not responsible for errors or omissions in third-party market data, or for outcomes related to your use of that information. Data feeds may change, be rate-limited, or become unavailable without notice.
Prophit may post educational and illustrative content on social media platforms and elsewhere. Companies, themes, or examples referenced in those posts are selected to illustrate a concept or theme — not as investment picks. Nothing we post is advice to buy, sell, or hold any security, and nothing we post promises or implies any particular investment outcome.
Images, screen displays, and example companies used in marketing or educational materials are for illustration. Market data, balances, holdings, and performance shown in such materials may be simulated, delayed, or different from actual results. Trend and company groupings described in our content are research and education tools; they are not funds, managed accounts, or securities products.

You are solely responsible for your own investment research, decisions, and outcomes — including any real-money trades you choose to place through a linked brokerage account. You acknowledge that any investment decision you make is based on your own independent analysis and judgment, and not in reliance on Prophit as an adviser. You assume full responsibility for consequences arising from your use of this platform and any investment decisions you make.
If you use brokerage features, you are also responsible for reviewing and accepting the brokerage's agreements, understanding fees and risks disclosed by the brokerage, verifying order details before you approve them, and monitoring your brokerage account through the channels the brokerage provides.
To the fullest extent permitted by applicable law, Prophit and its officers, directors, employees, agents, affiliates, successors, and assigns shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your access to or use of (or inability to access or use) this platform or any information, content, or tools provided herein, whether based on warranty, contract, tort (including negligence), strict liability, statute, or any other legal theory, even if we have been advised of the possibility of such damages.
Without limiting the foregoing, we are not liable for losses or missed opportunities arising from outages, data delays, errors, discontinued features, AI inaccuracies, third-party brokerage or data failures, or investment decisions you make.

By accessing or using prophit.inc or the App, you acknowledge that you have read, understood, and agree to be bound by those agreements and these Disclosures. If there is a conflict between these Disclosures and the Terms of Service, the Terms of Service control to the extent of the conflict, except that these Disclosures are intended to provide plain-language notice of the matters described above.
